Solstice Ornament Studio - commercial white-label licence

1. Licence grant

Broomerr Media Ltd (the licensor) grants the purchaser a non-exclusive, non-transferable commercial white-label licence to use the supplied Ornament Studio branding tool to prepare and sell their own branded customer edition of the ornament designer.

The purchaser also receives the personal and commercial output permissions in the accompanying customer licence. This additional white-label permission applies to the purchaser only. It does not allow the purchaser to appoint further software resellers or pass on this licence.

2. What the purchaser may do

• Use the browser branding tool to change the product name, header name, tagline, symbol or logo, theme colours, about text, support details, footer and download filenames using the supplied controls.
• Generate standalone customer HTML apps under the purchaser's own branding and sell those apps to end users at prices chosen by the purchaser.
• Create as many differently branded or niche-specific customer editions as the purchaser wishes, with no limit on the number of editions or brands. Each edition remains subject to this licence, including paid distribution only, no giveaways and end-user rights only for customers. This covers the branding and existing app features; it does not promise new geometry, additional app features or access to readable development source.
• Supply generated customer apps as paid downloads or as part of a genuinely paid bundle, course, membership or protected customer area, provided recipients receive end-user rights only. The app must not be offered as a free bonus or giveaway.
• Adapt and use the supplied customer sales page and marketing copy to promote the purchaser's own licensed edition.
• Distribute the generated app's embedded printing guide and required third-party notices with that app. The branding tool applies the purchaser's branding to the embedded guide.
• Keep the revenue from their own sales, with no royalty payable to the upstream Studio licensor.
• Keep reasonable internal working and backup copies of the supplied materials.

This package supplies an offline branding tool, not a development source kit. It requires no Node installation, terminal commands or build scripts. The generated customer app retains obfuscated application code.

Staff and contractors may access and use the rebrander solely to carry out work on the purchaser's behalf and for the purchaser's own sales. The purchaser is responsible for their compliance with this licence. They receive no independent licence, may not use the rebrander for their own business or other clients, and may not retain it for independent use after their work ends. This limited internal access does not permit sharing the tool with customers or other sellers.

3. Rights the purchaser must give customers

Customers receive a licence to use the purchaser's branded app for personal projects, their own business and paid client work. They may sell, license, share or give away their ornament designs, exported STL/3MF files, saved design settings and physical printed ornaments, without royalties to the upstream licensor.

Customers retain rights that arise in their original contributions. Their output permissions include use of the app's included presets and patterns, without a promise that every output is unique or exclusively protected by copyright. Software ownership remains separate from output ownership and output-use permissions.

The purchaser may adapt the supplied customer licence to identify their own product and business, but must preserve these output permissions and the prohibition on redistributing the app. They may not imply that buying an end-user edition includes software resale or white-label rights.

4. What must stay with the white-label purchaser

The purchaser may sell their branded customer app, but may not give it away. This includes free downloads, promotional giveaways, lead magnets, free bonuses, free memberships and other arrangements that give recipients the app without a paid purchase. Charging for an unrelated item does not permit advertising or distributing the app as a free bonus.

This restriction concerns the Studio app. It does not prevent the purchaser or their customers from sharing or giving away ornament designs, exported model files or physical prints under the customer licence.

Except for the limited staff and contractor access expressly permitted above, the purchaser must not sell, share, give away, sublicense, transfer or otherwise make available:

• The branding tool HTML, including its embedded app template, or a modified version of that tool.
• The purchaser's reusable branding settings files as a software rebranding kit.
• The white-label quick-start/rebranding instructions as a separate product or a means of enabling further software resellers.
• The white-label licence itself, or any PLR, MRR, master-resale, private-label, white-label or similar software resale rights.
• The original master package as a source-code pack, template pack or resale-rights package.

Customers receive the finished branded app, its embedded guide, the purchaser's customer licence and any customer-facing instructions. They do not receive the branding tool, a development source kit or permission to create further software resellers.

The rebrander is licensed solely for the purchaser's own business use, to create branded editions that the purchaser sells directly to end users. Unlimited brands means unlimited brands for the purchaser's own sales; it does not permit creating editions for other sellers.

The purchaser must not use the rebrander to generate, customise or supply a branded app for another person or business to sell or distribute, whether as a paid service, client project, agency service, partnership or free favour. This restriction applies even if the purchaser keeps the rebrander private and supplies only the finished HTML app.

The purchaser must not provide public access to the branding tool, offer a rebranding service for other sellers, or grant anyone else software resale rights. Customers may use their app commercially to create and sell ornament outputs, but may not resell the app itself.

5. Customer support and selling responsibilities

The purchaser assumes full responsibility for all customer support for every branded edition they sell. This includes customer enquiries, setup and usage assistance, troubleshooting, complaints and handling reported faults. The purchaser must provide their own working support contact and must not direct their customers to the original Studio licensor for support.

The purchaser is also responsible for their branding, product descriptions, prices, checkout, payment processing, delivery, customer terms, refunds and taxes. Selling a branded edition creates no support relationship between the purchaser's customers and the original Studio licensor.

The purchaser must supply their own working support details and must not use the original licensor's branding or name to imply endorsement, partnership or customer support responsibility.

Claims must match the actual app. Do not promise universal printer compatibility, tested printability of every design, exclusive ownership of shared presets, guaranteed sales or features that are not included. Printer, support and material settings remain the user's slicer choices; standard 3MF exports are model files, not ready-to-print Bambu projects.

Broomerr Media Ltd provides support to the licensed purchaser for the supplied rebrander itself. This does not include support, troubleshooting or maintenance of generated branded app editions, or support for their end users. The purchaser remains responsible for all support for those editions.

This licence does not promise a particular update schedule or future feature. Any separately offered update entitlement and the sales/refund terms are those provided with your purchase. Contact support@broomerrmedia.com for support with the supplied rebrander itself.

6. Ownership and third-party notices

The purchaser owns their independently created branding and marketing contributions. Rebranding does not transfer ownership or authorship of the original Studio software, branding tool, documentation or underlying intellectual property.

Included third-party components retain their actual licence notices and any rights those licences grant. Those notices must remain with generated apps. Nothing in this licence overrides applicable third-party licences or rights that applicable law does not allow to be restricted. Required font and tool notices remain included with generated apps.

7. Duration and termination

The commercial permission continues unless terminated for material breach. On valid termination, the purchaser must stop generating new customer editions and making new software sales or distributions. Termination of the seller's permission does not by itself cancel end-user licences already validly granted to customers or the output permissions attached to creations already made.

On termination, the purchaser must cease use of the rebrander and ensure that their staff and contractors cease using their licensed copies. The end of the seller licence does not transfer any rights to staff or contractors.
